Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by VIA Co., Ltd. ("VIA", "we", "our"), including VIA AXLE, VIA COMMAND, VERTIS, VIA GROVE, and our website at viasoft.ai (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

VIA provides software infrastructure for autonomous systems and smart agriculture, including:

  • VIA AXLE: Edge-based autonomous driving software platform
  • VIA COMMAND: Unified device command and control platform
  • VERTIS: Smart hydroponic cultivation management system
  • VIA GROVE: Growth analysis and field verification suite

Services are available as cloud-hosted (SaaS) subscriptions or on-premise licensed deployments, as described on our Pricing page.

3. Account Registration

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Keep your login credentials confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

4.1 SaaS Subscriptions

  • Subscription fees are billed monthly or annually, as selected at the time of purchase
  • Annual subscriptions include a 10% discount and are billed upfront
  • All fees are quoted in Korean Won (KRW) and exclude applicable taxes
  • Fees are non-refundable except as required by law

4.2 On-Premise Licenses

  • On-premise licenses are perpetual and granted on a per-module basis
  • Annual maintenance fees (15% of license cost) cover updates, patches, and technical support
  • Implementation services are quoted separately

4.3 Changes to Pricing

We may modify pricing with 30 days' notice. Price changes do not affect the current billing period for existing subscriptions.

5. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes or in violation of any applicable law
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Reverse engineer, decompile, or disassemble the Services
  • Resell or redistribute the Services without written authorization
  • Use the Services to process data in violation of any person's privacy rights

6. Intellectual Property

All intellectual property rights in the Services — including software, documentation, designs, trademarks, and trade secrets — are owned by VIA or our licensors. These Terms do not grant you any ownership rights.

Your Data: You retain all rights to data you upload to or generate through the Services. You grant VIA a limited license to process your data solely for the purpose of providing the Services.

7. Data Protection

We process personal data in accordance with our Privacy Policy. For SaaS customers, we act as a data processor and will enter into a Data Processing Agreement upon request.

  • SaaS data is hosted on AWS Seoul Region
  • Encryption: TLS 1.3 in transit, AES-256 at rest
  • Data is deleted within 30 days of contract termination

8. Service Level Agreement

For Standard and Enterprise SaaS plans, VIA guarantees 99.5% or higher monthly uptime. If we fail to meet this target, affected customers are eligible for service credits as outlined in the SLA addendum provided with your subscription agreement.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • VIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • VIA's total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • These limitations apply regardless of the theory of liability

10. Warranty Disclaimer

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless VIA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

12. Termination

  • By you: You may terminate your account at any time. Monthly subscriptions end at the current billing period.
  • By VIA: We may suspend or terminate your access if you violate these Terms, with notice where practicable.
  • Effect: Upon termination, your right to use the Services ceases. We will make your data available for export for 30 days after termination.

13. Governing Law

These Terms are governed by the laws of the Republic of Korea. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Jeonju, Jeollabuk-do, South Korea.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Continued use after changes constitutes acceptance.
